0. Introduction – Who Sandelia is and who these TCU apply to
These Terms & Conditions of Use (the “TCU”) govern access to and use of the platform Sandelia (the “Platform”), as well as all services, modules, functionalities, integrations, APIs, AI assistants, electronic invoicing tools and management features made available by Sandelia (the “Services”).

The Services are provided exclusively on a B2B basis. No provision of these TCU is intended to apply to consumers.
1. Definitions
For the purposes of these TCU, the following terms shall have the meanings set out below:
2. Acceptance and contractual hierarchy
2.1. The TCU are accepted upon creation of an Account, activation of the free trial or use of the Services.

4.1. The Account is personal. Any activity performed via the Account is deemed to be carried out by the User.
4.2. Login credentials are strictly confidential.
4.3. The User undertakes to immediately notify Sandelia in case of suspected unauthorized access.
5. Description of the Services – Evolution
5.1. The Services may include, in particular:
5.2. Sandelia reserves the right to modify, add or remove features, without affecting the core nature of the subscribed Services.
6. User obligations – Accuracy – Legal retention

6.3. The User alone is responsible for complying with statutory data retention obligations.
7. Configuration – Templates – Generated documents
Templates and configurations provided by Sandelia are technical tools only.
The User must verify their compliance before any official use.
8. Electronic invoicing – Peppol
8.1. Access to the Peppol network is provided via Recommand, acting as Access Point Provider, integrated through API.
8.2. Sandelia acts solely as a technical interface.
8.3. Sandelia does not guarantee the acceptance or payment of invoices sent via Peppol.
9. OCR – Automated recognition
9.1. OCR functionalities are provided through Mindee.
9.2. OCR relies on probabilistic technology and may produce errors.
9.3. The User must verify each extraction prior to validation.
10. Artificial intelligence – Full clauses
10.1. Certain functionalities rely on AI technologies provided through OpenAI.
10.2. Data may be transmitted to OpenAI for processing purposes.
No opt-out is available.
10.3. Generated outputs may be inaccurate, incomplete or unsuitable.
10.4. The User remains fully responsible for the use of such outputs and their consequences.
11. Third-party services – Liability
Sandelia is not responsible for services provided by third parties, including but not limited to:
12. Subscriptions – Payment
12.1. All Sandelia plans are paid, with a 14-day free trial.
12.2. No refunds are granted, except where mandatory law requires otherwise.
12.3. No quotas apply to OCR, users or storage.
12.4. Payments are processed via Stripe.
13. Support – Maintenance – Availability
13.1. The Services are provided “as is” and subject to availability.
13.2. Sandelia may temporarily interrupt the Services for maintenance purposes.
14. Hosting – Security
Sandelia implements security measures in line with market standards.
15. Data – Ownership – Export – Retention
15.1. Data remains the property of the User.
15.2. Upon termination, the User has 90 days to export their Data.
15.3. After this period, Sandelia may permanently delete the Data.
16. Intellectual property
All elements of the Platform are protected by intellectual property rights.
17. Liability – Limitations
17.1. Sandelia is liable only for proven direct damages.
17.2. Sandelia’s total aggregate liability is limited to three (3) months of subscription fees.
17.3. Sandelia shall never be liable for indirect damages.
18. Indemnification
The User shall indemnify Sandelia against any third-party claim relating to:

19.1. The agreement is concluded for an indefinite term.
19.2. The User may terminate at any time.
19.3. Sandelia may suspend or terminate in case of non-payment, fraud, breach of the TCU or legal risk.
20. Force majeure
Neither Party shall be liable in the event of force majeure.
21. Amendments to the TCU
Sandelia may amend these TCU.
Material changes will be notified to Users.
